These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “User”), and Fixr Technologies LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of the Fixr platform, including all associated websites, mobile applications, software, and services (collectively, the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

For the purposes of these Terms, the following definitions apply:

The Service is intended solely for individuals who are at least eighteen (18) years of age. By accessing or using the Service, you represent and warrant that you are at least 18 years old and have the full legal authority to enter into these Terms. Minors are strictly prohibited from accessing or using the Service.

Fixr Technologies LLC provides an AI-powered operations and growth platform built for home service businesses. The Service includes the following products and features:

To access the Service, Users must create an Account by providing accurate, current, and complete registration information and maintaining that information as needed. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify Fixr Technologies LLC immediately of any unauthorized use of your Account. Fixr Technologies LLC reserves the right to refuse service, suspend, or terminate accounts at its sole discretion.

You agree not to use the Service for any unlawful purpose or in any manner that violates applicable laws. Prohibited uses include but are not limited to:

• Any criminal, fraudulent, malicious, or illegal activity
• Infringement of Fixr Technologies LLC’s or any third party’s intellectual property rights
• Defamatory, harassing, abusive, or threatening communications
• Distribution of unauthorized spam or unsolicited bulk communications
• Transmission of viruses, malware, or other harmful code
• Collecting or transmitting personal information without proper consent
• Interfering with the security or functionality of the Service
• Contacting emergency telephone lines, public safety answering points, or healthcare facilities through the platform
• Using the Service to develop competitive products or services
• Misrepresenting your identity or affiliation in any communications facilitated through the Service

Fixr Technologies LLC reserves the right to limit or restrict usage to prevent unlawful activity. Any damages caused by prohibited or otherwise improper use are solely the User’s responsibility.

You agree not to upload, transmit, or generate content that:

• Is unlawful, harassing, defamatory, abusive, threatening, harmful, or otherwise objectionable
• Encourages criminal conduct or provides instructions for illegal activities
• Infringes any third party’s intellectual property or publicity rights
• Constitutes unauthorized spam or bulk messaging
• Contains viruses, malware, or code designed to disrupt or damage the Service
• Places an unreasonable burden on the platform’s infrastructure
• Attempts to gain unauthorized access to other accounts, systems, or networks
• Impersonates any person or entity, or misrepresents your affiliation

Fixr Technologies LLC has sole discretion to determine violations of this policy and may remove content or terminate accounts for repeated violations.

You may only use the Service to communicate with individuals who have provided prior express consent or with whom you have an established business relationship, as defined under applicable law. Fixr Technologies LLC reserves the right to request evidence of such consent.

You must comply with all applicable laws governing automated communications, including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), the CAN-SPAM Act, and any state-specific telemarketing, privacy, and consumer protection regulations.

For SMS and chat communications facilitated through JobPilot or Dispatch, you are solely responsible for obtaining opt-in consent from recipients and providing opt-out mechanisms in compliance with applicable law.

Access to the Service is provided on a subscription basis across three tiers. All plans include onboarding support and access to the Fixr dashboard.

Subscriptions are billed in advance on a monthly or annual basis and will automatically renew unless canceled in accordance with the cancellation policy. Add-on services (Boost and WebBuild) are priced separately and individually based on scope.

In addition to Subscription fees, Users may incur usage-based fees depending on their plan and interaction volume. Interaction limits per plan are defined in Section 10. Overage fees, if applicable, will be disclosed on the Fixr pricing page and billed monthly in conjunction with your Subscription fee.

All fees are non-refundable except as required by law or as explicitly stated in these Terms. Fixr Technologies LLC reserves the right to modify usage fees with prior notice to Users.

Fixr Technologies LLC may offer a free trial period for the Starter plan. Upon expiration of the trial period, your Subscription will automatically commence and your provided payment method will be charged unless you cancel prior to the trial end date. Usage fees as defined in Section 11 may apply during the free trial period.

You may cancel your Subscription at any time through your Account settings or by contacting customer support. Following cancellation, your access to the Service will continue until the end of the current billing period. No partial refunds are provided for unused periods.

The Service is offered on a digital, subscription-based model. Refunds are generally not provided. Exceptions may be made at Fixr Technologies LLC’s sole discretion based on specific circumstances, including documented technical failures attributable to the platform. Refund requests must be submitted in writing to customer support within thirty (30) days of the charge in question.

Fixr Technologies LLC retains all rights, title, and interest in and to the Service, including the Fixr Platform, all sub-products, all underlying technology, and all related intellectual property rights. Any modifications, enhancements, or customizations to the Service remain the sole property of Fixr Technologies LLC.

You retain ownership of data you provide through the use of the Service. However, Fixr Technologies LLC may collect and use aggregated, de-identified data from your usage to improve the platform, consistent with our Privacy Policy.

You retain ownership of specific instances of AI-Generated Content created through your use of the platform, subject to Fixr Technologies LLC’s underlying rights. You hereby grant Fixr Technologies LLC a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, and modify AI-Generated Content for the purposes of improving and developing the platform.

Users may create, configure, or upload content through the Service, including AI agent configurations, FAQ scripts, lead qualification workflows, and other customizations (“User-Generated Content”). By submitting User-Generated Content, you grant Fixr Technologies LLC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, and distribute such content solely for the purposes of providing and improving the Service.

You represent and warrant that you own or control all rights to User-Generated Content you submit and that its use does not violate these Terms or any applicable law.

Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and disclose information about our Users. By using the Service, you consent to the data practices described in our Privacy Policy. We are committed to responsible and transparent use of AI and adhere to applicable regulatory guidelines governing automated communications and data processing.

Fixr Technologies LLC implements commercially reasonable security measures to protect your personal information. However, no method of transmission over the internet or electronic storage is completely secure. We cannot guarantee absolute security of your data. Any transmission of personal information is at your own risk.

In the event of a data breach affecting your personal information, Fixr Technologies LLC will notify you in accordance with applicable law.

Each party agrees to protect the other party’s Confidential Information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information will be used solely to fulfill obligations under these Terms and will not be disclosed to third parties except as required by law or with prior written consent.

Fixr Technologies LLC reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice. We do not guarantee uninterrupted availability of the Service. Fixr Technologies LLC shall not be liable for any modification, suspension, or discontinuation of the Service.

Fixr Technologies LLC may impose reasonable usage limitations on the platform based on subscription plan, infrastructure requirements, or legal obligations. Such limitations will be communicated to Users through the Service or other appropriate means.

The Service integrates with and may contain links to third-party platforms, including CRM systems, scheduling tools, advertising platforms, and communication providers (collectively, “Third-Party Services”). Fixr Technologies LLC does not endorse or assume responsibility for any Third-Party Services. Your use of Third-Party Services is governed by their respective terms and privacy policies.

ClientHub integrations require your authorization to connect with third-party CRM and scheduling platforms. By enabling such integrations, you authorize Fixr Technologies LLC to access and transmit data to those platforms on your behalf in accordance with your instructions.

Fixr Technologies LLC provides AI-powered communication services through Dispatch and JobPilot. While we strive to ensure that AI interactions operate as intended, you acknowledge and agree that Fixr Technologies LLC shall not be liable for:

• The performance, actions, statements, or omissions of the AI receptionist or AI chatbot in any interaction
• Any inaccuracies, errors, or inappropriate outputs generated by the AI
• Any violation of applicable laws resulting from your configuration or use of the AI
• Any customer dissatisfaction, lost business, or other harm arising from AI-facilitated communications

Each party represents that they have the full right and authority to enter into these Terms and that these Terms do not conflict with any other agreement or obligation.

You warrant that you will use the Service in compliance with all applicable laws and that all data you provide does not infringe any third-party rights.

Fixr Technologies LLC provides the Service on an “as-is” and “as-available” basis. Except as expressly provided in these Terms, we disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Fixr Technologies LLC, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, lost revenue, loss of data, loss of goodwill, or business interruption, however caused and under any theory of liability.

You agree to comply with all applicable domestic and international laws, regulations, and ordinances in connection with your use of the Service. This includes, without limitation:

• The Telephone Consumer Protection Act (TCPA) and related FCC regulations
• The Telemarketing Sales Rule (TSR) administered by the FTC
• The CAN-SPAM Act for electronic messaging
• The California Consumer Privacy Act (CCPA) and other applicable state privacy laws
• The General Data Protection Regulation (GDPR), to the extent applicable
• All applicable state-specific telemarketing, consumer protection, and privacy regulations

Any disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.

By agreeing to these Terms, you waive any right to participate in a class action lawsuit or class-wide arbitration against Fixr Technologies LLC.

These Terms commence on the date you first access the Service and remain in effect until terminated. Fixr Technologies LLC reserves the right to suspend or terminate your access immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

Sections that by their nature should survive termination — including indemnification, limitation of liability, and dispute resolution — shall survive termination of these Terms.

Any feedback, suggestions, or improvement ideas provided by you to Fixr Technologies LLC regarding the Service shall be the sole and exclusive property of Fixr Technologies LLC. We may use, copy, modify, publish, or redistribute such feedback for any purpose without compensation or attribution to you.
